SHOW-MY Ni Salve Asis (Pilipino Star Ngayon) Updated July 10, 2012

Pero sabi nga ni Mr. Gozon sa statement : “we are not the source of the information,” adding that, “we have not signed anything with the supposed buyer.”

“We’re looking at an all-cash transaction. The purchase is likely to exceed the threshold that will trigger a mandatory tender offer,” sabi ni Mr. Pangilinan sa isang interview ng business section ng Philippine Star.

MVP group prepares funds for cash purchase of GMA-7

    by Rappler.com
    Posted on 07/12/2012 5:26 PM | Updated 07/12/2012 7:31 PM

The group of businessman Manuel V. Pangilinan is preparing its financial arsenal for the cash purchase of a controlling stake in GMA Network Inc., the country's second largest media group.

"We are talking to our bankers," Panglinan told reporters on Wednesday, July 12, when asked how the group will finance the planned acquisition that is part of its plan to have media assets side-by-side its telecommunications businesses.

Pangilinan chairs TV5, the third largest media network in the country, as well as telecommunications giant Philippine Long Distance Telephone Co. (PLDT).

“We would like to put it more in cash… We are preparing for that in the event it materializes,” said Pangilinan.

The loan arrangements for the anticipated business deal, reported to be worth P52.5 billion for an 80% stake in GMA-7, is on top of the recent sale.

PLDT sold the entire 27% stake of its wholly-owned unit ePLDT in online gaming firm PhilWeb Corp for P4.25 billion.

PLDT president Napoleon Nazareno said the Philweb sale is part of the group’s "asset repositioning for more efficient funding of future capital expenditure and investments."

This Philweb sale will be completed before the year ends. Pangilinan also said the GMA-7 purchase, which will be in made in cash, will be completed before end-2012.

    Corporate vehicles: PLDT or Mediaquest

Pangilinan also said that, if and when the deal is sealed, the investment will be made either through PLDT
or MediaQuest Holdings Inc., the media holding company of the PLDT Beneficial Trust Fund.

MediaQuest was the corporate vehicle of the Pangilinan group when it acquired stakes in TV5, as well as minority stakes in broadsheets, including BusinessWorld.

“It maybe a yes or no. I think that PLDT could pick up the PDRs (Philippine depository receipts),” Pangilinan said when asked if the investment will be made via MediaQuest.

Last May, PLDT, through wholly-owned subsidiary ePLDT, announced it was investing P6 billion in the form of PDRs in MediaQuest to sustain the growth momentum of TV5 and Cignal TV.

Pangilinan said he hopes to close an investment deal with the families of Gozon, Jimenez and Duavit before the year ends.

“It is still under discussion. That timetable is beyond our control. That’s what we would like to see but it’s beyond our control because we have to go through both houses of Congress and subject to approval of the NTC (National Telecommunications Commission),” said Pangilinan.

    Content and telco

Nazareno stressed that traditional telecommunications in other countries are transforming themselves, too, into a multi-media service company. The acquisition of media assets is part of that strategy.

“PLDT has a choice of strategically staying as a telco highway providing access. As you know technology on the access side of telcos are also changing drastically. At the same time, the layer above us which belongs to the internet, social media dominated by the Facebook, Google, among others is something we perceived to be a threat in the long term.

"So, we thought of getting into the content production layer and integrate the highway with content production,” said Pangilinan when asked of the value of its future investment in GMA7 despite already having TV5 on board," Nazareno said.

kaya lang nasubukan na ito ng gma through qtv11 dati, we knew what happened then.....

We heard that if the deal pushes through, GMA-7's sister station News TV may gone off the air as early as first quarter of next year, with plans of converting TV5 to a 24/7 news channel. If this happens, GNTV and AksyonTV will be single television news operation via TV5 (channel 5). Also, while MVP stressed that should the deal materialized, GMA-7 and TV5 would keep their management and operations divided, both the networks' talents, which includes reporters and anchors can cross-over from the two networks.

    MERGER DETAILS (Perci Intalan)

However, open naman sina Atty. Gozon to the idea at inaamin naman nilang there are talks going on.

“Well, to be clear, she’s (Wilma) not in any station, I don’t know kung interesado siyang bumalik sa GMA, kasi from the sound of it talaga, nag-move on na siya, eh.

“Hindi ko alam kung ano exactly ang puwede kong i-announce the way we see it.

“Ako, I’m happy kasi ‘yung dating competitor stations, ngayon magkasama na, it opens a lot of possibilities for us, kasi hindi na kami competitor sa isa’t isa.

“Dito (reality shows) lang naman kami may clash, eh, kasi we’re doing Artista Academy and they’re doing Protégé, kasi kailangan namin ng artista at kailangan din naman nila, so ganu’n,” paliwanag niya.

‘kita n’yo naman ang nangyari sa Makati Medical Center when we took over.

Kasi before I came along, very standard na, pare-pareho ang soap, so ngayon, nag-iiba na. ‘Kita mo nga ang ABS, ang dami na rin nilang bagong ginagawa, ang GMA to be fair, ang dami na ring ginagawang bago na hindi ko sasabihing dahil ginaya nila kami, pero parang na-challenge sila to try out new things, otherwise, baka mauna pa kaming mag-try which is good.

“Kita ko nga ‘yung bagong soap ng ABS, eh, ‘yung Lorenzo’s Time, they’ve been doing a lot of soap na bago ang istorya, which is good. It’s something na hindi nila ginagawa before, dati mas traditional ang mga soap.

“Ngayon, nag-experiment na sila like 100 Days, Budoy, at itong Lorenzo’s Time which is very encouraging,” sabi pa ni Perci.

Now that I think about it, pwede din itong tactic ni MVP to get GMA out of business for good. Tactic ito ng mga companies from time to time--buy out your rival, then let it rot into some hell pit while you maintain your flagship carrier. It's killing two birds with one stone: you won your rival and you can do anything you want with it. Most who own business and are secure with it will takeover the rival and either merge it with their current business, or else let the new acquisition die (if they can afford to do that).

ginagawa lang to sa rivals na small player. gma is still bigger than tv5. my idea is, bibilhin nila ang GMA, tapos ililipat nila yung mga big stars na nabili nila ng mahal, then eventually drop tv5.

habang wala pang DTV eh they can still keep TV5 tapos encore programming sila ng GMA programs for most of the day sa buong linggo tapos lifestyle and variety shows sa primetime programming nila. pero sabi nga sa TV5 na mapupunta ang GMA News TV. pwedeng ibalik sa music channel naman ang channel 41 (Aksyon TV ngayon). yung channel 11 pwedeng gawing Sports, Lifestyle at Movie channel.

yung Sharon show ilipat sa GMA at itapat sa KrisTV.

I really don't like the Merger.

Nasasayangan ako sa effort ng TV 5 to compete against ABS-CBN and GMA 7.

if matuloy ang merger na yan, lugi yata ang TV5, definitely sa GMA7 sila magconcentrate, since in terms of technology and facilities mas lamang ang Kapuso Station.

The attempt to buy GMA 7 simply means na hindi ganun ka progressive yung response ng televiewers sa TV5.

Mas nakikita ng MediaQuest yung Future ng Philippine TV using GMA Network... They can expand using their innovation and creativeness... in short kung ano yung ideas na naipundar nila sa TV5, ganun ang gagawin nila sa GMA 7, at since mas maraming viewers ang tatangkilik.

slightly, if hindi makapaghanda ng maayos ang abs-cbn, baka tuluyang maging no. 1 ang GMA 7 Nationwide with the New Management.
