    PSE Revamps Index, 3 Firms to Be Replaced

    MANILA, Philippines – The Philippine Stock Exchange (PSE) said Thursday that its latest revision of the composite Philippine Stock Exchange Index (PSEi) will see three stocks - diversified San Miguel Corp. (SMC), Security Bank Corp. (SECB) and broadcast company GMA Network Inc. (GMA7) – dropped from the roster of 30 companies comprising the bellwether index.

    The three stocks will be replaced by construction, mining and property group DMCI Holdings Inc. (DMC), power generation company First Gen Corp. (FGEN) and conglomerate JG Summit Holdings Inc. (JGS), the bourse said.

    The revisions to the PSEi and other sectoral indices will be implemented on Nov. 8.

    The PSE's corporate services division said San Miguel was dropped from the PSEi as its free float level declined to 8.6 percent, below the minimum requirement of 10 percent. GMA Network and Security Bank failed to make it to the exchange's list of top 30 companies in terms of market capitalization, the division added..

    Whilst rival network ABS CBN, for the same period, incurred a total of P201,304,000 (finance costs). This is one of the reason why ABS CBN has to negotiate for a NEW syndicated loan of P10 billion this year, to refinance and pay some of its existing current debts.

Although the market cap of a company is an indication of the value of the company, it is only a temporary metric based on the current stock market. The true value of the company (its profits, product positioning, balance sheet, etc.) may not be reflected in the market cap. Of course, the perfect example occurred during the dot-com explosion of the late 1990s, when the market caps of many companies that never made a dime in profit rose to astronomical heights. Conversely, a company can be doing well, but still have a low market cap if its products and reputation have not caught the fancy of the masses.

    GMA Network remains on track going into the last stretch of the year, RISING UP to the challenge post election-period.

    For the 9 months period this year, GMA Netwrok top line is 8% higher than comparative period in 2009.

    Airtime reveneuws from all platforms were ahead of last year's performance.

    In the same manner, subscription revenues from international operations posted double digit growqth from a year ago due to a higher subscriber basse, providing top line growth.

    However, GMA reported a 26 percent drop in net earnings in the third quarter on lower revenues as a result of weakened ad spending by major advertisers.

    Net income from July to September this year fell to P583 million, its lowest level in the last three years and a 26 percent decline from the P788 million recorded in the same period in 2009. Revenues decreased by 10 percent to P3.31 billion from P3.69 billion.

    MANILA, Philippines—A former GMA Network official and five others are facing a complaint in the Quezon City Prosecutor’s’ Office for allegedly pocketing P37 million in unauthorized commissions from an advertiser.

    Fifty-eight counts of syndicated estafa were filed against Corazon Guison, a former GMA top executive and five officials of Silver Trumpets & Company, a marketing arm for television program producers that sells broadcast advertising spots.

    The other respondents were: Noemi Cortez-Peji, Michaela Cortez, Angelito Pangilinan, Ma. Luz Pangilinan and Ma. Brenda Celiz, all incorporators, stockholders and directors of the firm.

    The complaint was filed by Carolina Villegas, president of Herbs and Nature Corp, with a business address in Cubao, Quezon City.

    Villegas alleged that the respondents collected unauthorized commissions amounting to P37,777,550.49 from GMA Network from January 2007 to April 2009.

    She added that she launched an aggressive ad campaign to promote their products, and used GMA for its TV and radio advertisements beginning in 2002.

    The complainant said HNC dealt with Guison, GMA’s authorized representative, to handle her company’s account to advertise its product with the network.

    Villegas added that Guison made it clear that HNC’s account with GMA was a direct account and that there was no agency or broker’s commission involved in booking the ads.

    The complainant said she and Guison became good friends in the course of the transaction.

    In August 2004, long after the bookings were closed with Guison, Villegas said the respondents conspired to “induce and sweet talk” her into coursing HNC’s ads through Silver Trumpets & Co. Inc. to help Guison lessen her tax liabilities.

    Villegas said she was assured that the appointment of Silver Trumpets as HNC’s authorized broker or advertising agency, would be for “records and tax purposes only.”

    The complainant added that in HNC’s transaction with GMA, Guison allegedly did not furnish her with billing invoices, but with official receipts and a certificate of performance only upon demand

    In a disclosure, GMA Network said FLG Management and Development Corp., named after the initials of the television station’s chairman, Felipe L. Gozon, had acquired a total of 3.77 million shares of the network.

    The shares were acquired from November 23 to 25. The most expensive of the purchases was for 100,000 shares at P7.24 each. The cheapest involved 25,000 shares, bought for P6.81 apiece.

    These shares were valued at P26.44 million based on the company’s closing share price of P7 on Friday. This is 17.65 percent below the company’s share price of P8.50 on the day of its initial public offering (IPO) in 2007.

    As of the end of the third quarter, prior to these purchases, FLG Management and Development held 12.88 million GMA Network shares, or a stake of 0.38 percent.

    A similarly named company, FLG Management & Development Corp., which is also owned by Gozon, holds 656 million shares, or 19.5 percent, of GMA Network.

    “Gozon is just signaling to investors that his company’s stock is still fairly undervalued and that people should buy it,” Jose Mari Lacson of brokerage firm Campos Lanuza & Co. said.
