Networks shakedown rocks industry

TV5’s Manuel V. Pangilinan
MEDIA mogul Manuel V. Pangilinan, chairman of the telecommunications conglomerate PLDT/Smart/Sun, wants to acquire control of television network GMA 7.
A formal price offer still has to be worked out to bridge a P15-billion gap to swing the deal, but all major industry indicators—dropping profits, shifting consumer markets, rising costs, expensive new technology and cut-throat competition—are conspiring to make the buyout of GMA 7 inevitable, market analysts say.
“The major and controlling shareholders have not received a price that is acceptable to them,” GMA Network president Gilberto Duavit Jr. said in a statement responding to media reports. “That is not to say that GMA 7 will not be sold, but at the moment we are presently not pursuing serious negotiations with the PLDT group because they have not offered us a price that is acceptable to our shareholders,” Duavit said.
For weeks, the industry has been abuzz with reports that acquisition talks were under way. But price matters most, and one has to read the nuanced signals correctly.
Industry indicators
Major indicators foreshadow a shakedown in the television industry.
Technology is changing to high-definition, requiring massive capital input. Industry profits are shrinking and the rules of the game are changing.
Two major players—ABS-CBN and GMA 7—are suffering double-digit percentage reductions in profits. Advertisers are cutting back on spending.
An aggressive new kid on the block, TV 5, is challenging industry rules and rewriting tried-and-tested formulas.
Channel 5 is on the prowl for an acquisition. And there is a company ready to sell for the right price.
Purported asking price
Last week, a source in Hong Kong-based First Pacific Co. Ltd., of which Pangilinan is CEO and Managing Director, said that the “asking price” for GMA 7 was between P45 billion and P51 billion—an amount the Pangilinan group was said to be willing to pay.
But latest reports said the three families controlling GMA 7 want P60 billion for the company.
The closing price of GMA 7 at the Philippine Stock Exchange on April 25 was P9.36. A 100-percent stake in GMA 7 would cost over P31 billion, but it is customary for buyers to pay a premium for acquisitions that give them control of their targeted companies.
At P45 billion, Pangilinan is willing to pay a premium of about 48 percent to GMA Network’s present market capitalization, but the controlling shareholders seek a premium of 94 percent.
The Pangilinan group has investments in several media companies and full ownership of television network TV 5. The PLDT Beneficial Trust Fund, through its subsidiary Media Quest Holdings, also has minority interests in print media: BusinessWorld, Philippine Star and the Philippine Daily Inquirer.
The right price

KAPUSO chair and CEO Felipe L. Gozon
GMA-7 is controlled by the Duavit, Gozon and Jimenez families. The Gozon group, represented by GMA chairman Felipe L. Gozon, had admitted in the past that the company could be sold for “the right price.”
The sale of GMA-7 to the PLDT group nearly happened in 2001 with the signing of a memorandum of understanding. Duavit said agreements had been reached on the price for a majority stake of the firm, but the deal fell through because of issues encountered by the buyer that were not related to price.
But conditions could be right this time around.
Income drop
GMA 7 recently announced that its 2011 net income plummeted 39 % to P1.72 billion from P2.82 billion in 2010, as advertisers cut back and operating costs went up.
“Our net income took a beating,” admitted Ronaldo P. Mastrili, GMA 7 vice president of finance. “We experienced the lowest net income level of the past 5 years in the 4th quarter of 2011.”
Advertising revenue dropped 9 percent to P13.08 billion, while operating costs junped 8 percent as GMA launched GMA News TV to blunt competitive inroads in news.
Ratings game
Duavit said competitive pressures drove costs up:
“The spending was driven by the desire to win in the national ratings last year.”
GMA 7 cited a 3.1-point lead in household audience share over rival ABS-CBN and an 18.6-point lead over newcomer TV 5, according to media ratings firm Nielsen TV Audience Measurement.
Duavit rejected suggestions to emulate TV 5 by pirating big talent to attract more advertisers. “The norm was that the stars created the program and the network was measured in terms of who its stars were,” he said.
“We prefer to see it the other way around—that it’s the programs that make the stars and the network that creates the programs and the opportunities,” he said.
Spending cuts
GMA-7 plans to reduce programming costs and trim capital expenditure from nearly P896 million in 2011 to P650 million for 2012.
Two new stations are planned in the Ilocos and Bicol regions. The rest of the funds will be to upgrade towards high definition programming.
Despite posting lower profits, rival ABS-CBN has set a higher budget for expansion this year to diversify its revenue stream and ensure future growth.
Last week, company officials reported that profits fell nearly a quarter in 2011, from a net of P3 billion in 2010 to P2.4 billion in 2011, following an industry-wide drop in earnings from massive spending cuts by big advertisers.
A one-time gain from the sale of a stake in Sky Cable Corp., coupled with the company’s more diversified revenue stream helped save ABS-CBN from a worse decline, officials said.
Uncertain outlook
The outlook for 2012, however, remains uncertain after an unusually erratic first three months of the year.
“In January ad minutes went down by double digits. In February we saw some signs of recovery, but last March we had an all-time high for that month,” ABS-CBN chief financial officer Ron Valdueza told reporters. “We hope to sustain this momentum the rest of the year.”
Valdueza said the company might benefit from the unofficial start of the midterm campaign season by the fourth quarter of this year, “but it probably wouldn’t be that much.”
He said the group’s capital expenditure would increase by at least 19 percent this year to P5 billion, with the bulk to be invested in the Internet and cable television business of its subsidiary, SkyCable.
Diversifying
To diversify its revenue stream, ABS-CBN last year launched a total of 16 films, six of which grossed more than P100 million each to reach “blockbuster” status by Philippine standards. “Praybeyt Benjamin” grossed P342 million, making it the country’s biggest-selling movie.
This year the government plans to order television industry players to start broadcasting on digital frequencies and replace the existing inefficient and unreliable analog technology.
The National Telecommunications Commission is choosing between Japan’s Integrated Services Digital Broadcasting and the second-generation Digital Video Broadcasting platform from Europe.
This seismic shift in the industry’s business methods will benefit the big players at the expense of the smaller ones. It looks prudent for GMA-7 to start preparing while the price is right.

MVP: P60 BILLION TAG PRICE NG GMA NOT WORTH IT!
Posted by network war
Too expensive. That's how TV5 chairman Manuel V. Pangilinan described the P60 billion price tag sought for rival GMA Network Inc.
"Sobrang mahal yun," Pangilinan said when asked if his group would shell out double GMA Network's market value for full ownership of the broadcast company.
At the close of trading on Monday, listed GMA Network shares were priced at P9.40 each, valuing the company at P31.929 billion.
Pangilinan was supposed to have offered P45 billion for GMA Network, but the three families controlling the broadcast firm - the Duavits, Gozons, and Jimenezes - would sell for at least P60 billion.
Gilberto Duavit Jr., GMA Network president, said in a press release that they "are presently not in serious negotiations with the PLDT group as we have not yet received an offer price that is acceptable to us."
Pangilinan chairs Philippine Long Distance Telephone Co., whose unit MediaQuest Holdings owns TV5. InterAksyon.com is the online news portal of TV5.

Gozon: owners OK to sell
05/16/2012
MANILA, Philippines [UPDATED] - Amid talks of a possible deal between the 2nd and 3rd largest media groups in the country, an official of GMA Network Corp. said all major shareholder groups said have agreed to sell GMA-7 if the right price is offered.
He also stressed GMA-7 is an attractive buy and that other groups, aside from rival TV5 chair Manuel V. Pangilingan, have approached to acquire them before.
"We [are on] the same [page]. There is no disagreement among the major stockholders. We have one position," said GMA Chairman Felipe Gozon at the sidelines of the network's annual stockholder's meeting on May 16.
"Even if we are not for sale, at the right price we might be persuaded to sell," he said.
Three families -- Gozon, Duavit and Jimenez -- have a 75% controlling stake in GMA-7. The public owns the remaining 25% balance.
The owner of the TV5, Manuel Pangilinan, has denied that he is currently in negotiations to acquire rival GMA7, but had said his "interest continues."
"We are not really negotiating with MVP (Pangilinan). He expressed his interest, tagal na, ever since. He did not loose interest. Ever since the first transaction didn't push through, the interest remained," Gozon said, confirming Pangilinan's previous statements about GMA-7.
Pangilinan would only want an acquisition, as opposed to a joint venture, added Gozon.
The GMA-7 boss said an advance offer was made last year but there was a sticking point--the cost. "It's always the price," he said.
Gozon has previously joked about a P60 billion deal price. Pangilinan had shrugged this off as an "expensive" deal price.
"I'm just waiting for an offer that will be acceptable, so far we have not received any offer that is acceptable. I am not closing the book," said Gozon.

GMA-7 POSTS 6% DROP IN AD REVENUES DESPITE CLAIMING NUTAM LEADERSHIP!
Publicly listed firm GMA Network experienced a 5% drop in airtime revenues to P2.707 billion for the first 3 months of 2012. This was despite claiming TV Ratings supremacy over close rivals ABS-CBN and TV5.
Core business unit GMA Channel 7, which accounted for 90 percent of total airtime revenues, fell 6% year-on-year to around P2.44 billion.
This has caused the company to incur a 27% decrease in profits to P388 million from P534 million netted a year earlier. This has been among the lowest profit level of GMA for the past 9 years which is largely attributed to the maturing market and stiffer competition from TV5.
Rival ABS-CBN Corp. reported a 4% increase in airtime revenue and a 1% increase in recurring net income, while TV 5 remained red.
GMA's consolidated revenues for the first three months also dipped by 4% to P3.002 billion from P3.138 billion.
Television and radio airtime revenues totaled P2.707 billion, while revenues from subscriptions, licensing, and subsidiaries reached P295 million, up 8 percent.
Channel 11, carrying the country’s No. 1 news channel GMA News TV (News TV) increased its revenues by 7 percent under the QTV format from a year earlier. GMA Radio, meanwhile, maintained the same top line level in the same comparable period.
GMA International contributed P231 million to the top line, slightly higher than a year earlier, even with the appreciation of the Philippine peso against the US dollar, because of improved subscriber take up.
GMA chair and chief executive Felipe L. Gozon noted however that the company is targeting P2.8 billion in net income for 2012, higher than the P1.7 billion net income recorded last year.
“The bottomline to be about P2.8 billion for 2012, higher than last year… The first quarter result, kumbaga sa Filipino bumubuwelo o pumoposisyon pa tayo,”said Gozon.

MVP kumpirmadong sinakop na ang GMA7
by Papak!/Abe Paulite Jun 2, 2012
Hehehe!
Well, masaya ito.

Nothing wrong with planned buyout of GMA 7, says Revillame
By: Marinel R. Cruz
Philippine Daily Inquirer
June 3, 2012
LOS ANGELES, California—TV host Willie Revillame sees nothing wrong with the attempt of business tycoon Manny Pangilinan, chair of Media Quest Holdings Inc. which owns TV5, to buy another broadcast network, specifically GMA 7. “It just means more opportunities for more artists,” Revillame told reporters.
Pangilinan, who is also chair of the Philippine Long Distance Telephone Company (PLDT), has reportedly offered up to P45 billion for a 100-percent stake in the Kapuso network. The amount is still under negotiation.
Revillame let it slip that “something big” would happen in November 2012 in relation to the unprecedented deal.
Major changes
“If this will improve industry conditions, then I’m in favor of it,” he told the Inquirer during the after-party for “Wil Time Bigtime” at the Shrine Auditorium here.
Revillame was certain that major changes would follow if the acquisition pushed through. “Pwede nang magpalitan ng stars. It should be exciting to finally be able to work with artists from the other station, like the hosts of [the noontime game show] ‘Eat Bulaga.’” he said. “A new management [for GMA 7] would mean new plans and new programs. Both networks can help each other.”
The TV host said it was “natural” for people to react negatively to a new idea. “But this one is Mr. Pangilinan’s move and we must respect that.”
Revillame was in this city from May 24 to 26 to help launch the Kapatid network’s two international channels, Kapatid TV5 and Aksyon TV International. With him during a media gathering held at the Scientology Celebrity Center were his fellow TV5 talents Nora Aunor, Aga Muhlach, Derek Ramsay, Ruffa Gutierrez and “Wil Time Bigtime” cohosts Mariel Rodriguez and Camille Villar.
Pleasant recall
During the May 26 show, Revillame gave away a total of $30,000 in cash prizes in the segments “Family Apir,” “Kantanong” and “Baligtaran.” A video on the show’s history was shown, starting with Revillame’s transfer from ABS-CBN to TV5, through the signing of what was reportedly a billion-peso contract with the Kapatid network, and finally ending with the reformat of “Willing Willie” to “Wil Time Bigtime.”
He said he didn’t mind people still referring to his TV5 show as “Wowowee,” the ABS-CBN production he hosted for over five years. “It was where I started. I became known to people because of that show. I’m pleased with the recall. It’s like I’ve planted something in a small pot, then transferred it to a bigger area to make sure it grows—it grew better on TV5 soil.”
Kapamilya taunt
What made him and his production team frown, Revillame said, was that ABS-CBN organized a fundraising show last week (“Para Sa Inyo, Kapamilya”) at the Home Depot Center in Carson City on the exact same date and time that they were in the United States.
Kapamilya stars Charice, Martin Nieverra, Xian Lim, Erik Santos and Kim Chiu performed in the event.
“We had announced our show way before that,” insisted Claro Carmelo Ramirez, president of Pilipinas Global Network Limited, TV5’s international arm. “We only want to make people happy. As they say, we’re here not to subtract, but to add, to give people more choices.”
ABS-CBN has operated The Filipino Channel (TFC), a Filipino subscription-based TV network for 12 years now and claims over two million subscribers worldwide.
Second event
An estimated 5,000 people came to watch “Wil Time Bigtime” at the 6,500-seat Shrine Auditorium on May 26. Also present at the event were Ramirez, Revillame’s business managers Vic del Rosario and Alfonso “Boy” Reyno Jr., his legal counsel Leonard de Vera, TV5 executive vice president and chief operating officer Bobby Barreiro, News 5 head Luchi Cruz-Valdes and TV host Erwin Tulfo.
The second of two launch events were held at the Bill Graham Civic Auditorium in San Francisco on Saturday.
“We’re not here to compete [with ABS-CBN],” Revillame reiteratead. “We’re here to inspire more Filipinos. Bagong putahe naman ito.” PGNL and the US-based cable provider Dish Network inked a deal on Friday in San Francisco.

by Papak!/Abe Paulite Jun 4, 2012
http://www.remate.ph/2012/06/ang-produng-balimbing-bow/

SHOW-MY Ni Salve Asis (Pilipino Star Ngayon) Updated July 10, 2012
Pero sabi nga ni Mr. Gozon sa statement : “we are not the source of the information,” adding that, “we have not signed anything with the supposed buyer.”
“We’re looking at an all-cash transaction. The purchase is likely to exceed the threshold that will trigger a mandatory tender offer,” sabi ni Mr. Pangilinan sa isang interview ng business section ng Philippine Star.
