My company gives 300 shares of stock (common) to its employees which is excercisable after 2 years. The present value as of 4:00PM is $35/share.
Does this mean i cannot sell my stock within 2 years?

that is correct. you need to wait for your stocks to be vested to you. did they not tell you this when you started working there?

what if I got laid-off within 2 years?

You really should ask your HR department. Offhand, I would think your interest in the "free" stock vanishes if you get laid off within two years.
However, not all settlement offers are equal. Some employers might give you part of the allocation, or ask you to buy your interest at a reduced price.

correct again. usually if you get laid off before the vesting schedule you would get nothing. but it would be good if you asked your hr dept as kuyadanny mentioned.
what would be difficult is if your grant price is higher than the current market price, in which case lugi ka pa pag pinabili sa iyo ang stocks mo from your own pocket, even at a discounted price.

Is it a grant (free shares) or a stock option?
Kung stock option, tama si harry_baggins, the strike price (the price at which you can buy the stock) is important kasi it might go higher than the current market price ng stock ng company niyo. In that case worthless yung options mo on excercise date (two years from now).

talagang hassle...
they gave me a Stock option grant certificate plus a 30 pages appendix and written in english plus the present condition of the economy ..... wala rin pala...
I thought I can vest it anytime....

Don't take it for granted. Who knows by the time it is excercisable, triple the strike price na siya. In that case you would have made a lot of moolah. Well, I don't really know the company you're in, but normally, if it's a blue chip company, it's stock value rises steadily as time passes by. *okay*

Hi Cho_ree we have the same situation. Mine is they gave me 592 shares vested for 4 years and exercisable every quarter. Base proce really matters kasi market price - base price times # of shares vested yun ang pera mo. Hey dont take it for granted pag maganda ang market specially yung company price ng nasa yo you would realize na yung makukuha mong pera ay hindi mo makukuha sa sweldo mo lang.
